Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between Daksh AI Labs Private Limited ("Daksh", "we", "us") and you, the user or the organisation you represent ("Customer", "you"). By accessing or using Daksh Search ("Service"), you agree to these Terms.

1. Acceptance of Terms

By creating an account, clicking "Accept", or using any part of the Service, you represent that you have the authority to bind yourself or your organisation to these Terms. If you are accepting on behalf of a company, you represent that you have that authority.

2. The Service

Daksh provides an AI-powered enterprise search platform that connects to your organisation's tools and indexes content to enable search and AI-generated answers. We may update, modify, or discontinue features with reasonable notice.

3. Account Registration & Security

• You must provide accurate, complete, and current information during registration.
• You are responsible for maintaining the confidentiality of your account credentials.
• You must notify us immediately at security@dakshapp.com of any unauthorised use of your account.
• Each account is for a single organisation (tenant). Sharing accounts across organisations is prohibited.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law
• Attempt to gain unauthorised access to any part of the Service or other users' data
• Reverse engineer, decompile, or disassemble the Service
• Upload or transmit malware, viruses, or malicious code
• Use the Service to process data you are not authorised to handle
• Resell, sublicense, or make the Service available to third parties without our written consent
• Use automated scripts to scrape, crawl, or overload the Service

5. Data & Privacy

Your use of the Service is also governed by our Privacy Policy. Key data commitments:

• Your content (indexed data from integrations) remains yours. We do not claim ownership.
• We do not use your company's data to train AI models.
• Your data is stored in tenant-isolated storage and never co-mingled with other customers.
• Upon termination, data is deleted within 30 days.

6. Intellectual Property

Daksh and its licensors own all intellectual property rights in the Service, including the software, logos, trademarks, and documentation. These Terms do not grant you any rights to use Daksh's name, logo, or trademarks without prior written consent.

You retain all intellectual property rights in content you upload or index through the Service.

7. Payment & Subscriptions

• Subscription fees are charged in advance, monthly or annually, as specified in your order form.
• All fees are non-refundable except as required by applicable law or as stated in your order form.
• We may change pricing with 30 days' notice. Continued use after the effective date constitutes acceptance.
• Overdue payments accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.

8. Confidentiality

Each party agrees to keep confidential any non-public information of the other party disclosed in connection with these Terms ("Confidential Information") and not to disclose it to third parties without prior written consent, except as required by law.

9. Warranties & Disclaimer

The Service is provided "as is" and "as available". To the maximum extent permitted by law, Daksh disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Daksh's total liability for any claims arising under these Terms shall not exceed the fees paid by you in the 12 months preceding the claim. In no event shall Daksh be liable for any indirect, incidental, special, consequential, or punitive damages.

11. Indemnification

You agree to indemnify and hold harmless Daksh, its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Term & Termination

• These Terms remain in effect while you use the Service.
• Either party may terminate with 30 days' written notice.
• We may suspend or terminate your account immediately for material breach of these Terms, non-payment, or illegal activity.
• Upon termination, your right to use the Service ceases immediately and we will delete your data within 30 days.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts in India. Before initiating formal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for 30 days.

14. Changes to These Terms

We may update these Terms periodically. Material changes will be communicated via email or in-product notice at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.
